Section A – Introduction

  1. We are Chainfundit Limited (Chainfundituswe), a company registered in England and Wales with company number 13253451 and registered office at 71-75 Shelton Street, Covent Garden, London, England, WC2H 9JQ.
  2. The Services are offered as a platform to allow an individual, entity or non-profit organisation (“the Organiser”) to post or chain a Fundraising Campaign to the platform to accept monetary donations (“Donations”) from donors (Donors”) on behalf of the Fundraising Campaign.

  4. The Platform is offered to help Organisers raise money and is donation-based. We do not offer loan-based and investment-based crowdfunding services.
  1. These terms and conditions (Terms) describe the relationship between us and you, a customer donating or receiving (or intending to donate or receive) through our ChainFundIt platform (Platform).  They should be read in conjunction with the following important documents:

By opening, maintaining an account (a “ChainFundIt Account”), chaining a ChainFundIt Fundraising Campaign on our Platform or by otherwise using the Platform, or making donations to the Fundraising Campaign, you agree to be bound by these Terms.  Please take your time to read them carefully because they explain our obligations to you and your obligations to us.  If you feel you cannot comply with them, you should not create a ChainFundIt Account or use the Platform to make donations.
  1. We, together with our payment service providers (“Payment Service Providers”), do the following:
    • operate and manage the Platform, including administering ChainFundIt Accounts;
    • We facilitate the Fundraising Campaigns of the Organisers and permit donors to make one-off or periodic donations to these Fundraising Campaigns;
    •  
    • accumulate donations from donors to the Fundraising Campaigns;
    • arrange for the aggregated sum of donations to be transferred to the Fundraising Campaign
    • provide account statements available on request to Campaign Organisers detailing all donations made to the Fundraising Campaign;
    • enable notification alerts in respect of all donations made via the Fundraising Campaign page recent donations feature where applicable and/or feasible; and
    • respond to, and seek to resolve, all queries, complaints and disputes relating to the Platform.
    • enable participants in a Fundraising Campaign the ability to chain a campaign i.e. request for a replica of the Campaign page which they can share with their network of friends and family members for the purpose of soliciting donations to the Fundraising Campaign in exchange of a commission on successful donations on the chain Fundraising Campaign page.
  2. You authorise us to provide or arrange the provision of these services to you.
  3. The purpose of our Platform is offered to help Campaign Organisers raise money and process donations on behalf of the Fundraising Campaign featured on the website and is not to be used for any other purpose including lending, conditional or contingent giving. A donor may be a natural or legal person.

  5. No activity or process undertaken, or outcome reached, in connection with the operation of our Platform and the provision of our services is intended to constitute or be construed as financial, tax or legal advice, and should not be relied on as such.
  6. We are not authorised by any financial regulatory authority but the Payment Service Providers with whom we work are so authorised. Separate terms and conditions and other requirements may apply from time to time at the request or requirement of the Payment Service Providers, and we shall make these available to you where applicable. You are responsible for monitoring any changes to such terms and conditions or other requirements as may occur from time to time.
  1. Prior to opening, chaining and / or withdrawing a ChainFundIt Account, we need to be satisfied as to your identity and eligibility.
    • Identity: We, or others on our behalf, will collect information about you and documentation from you to establish and verify your identity.
    • Eligibility: You must comply with our minimum eligibility criteria from time to time which includes:
      • having the legal capacity to enter into contracts in the jurisdiction in which you are located; and
      • having a valid bank or building society account.
  1. If you satisfy our identity and eligibility requirements, and any other pre-account conditions or requirements that may apply from time to time, we may (but with no obligation to do so) chain, open or withdraw from a ChainFundIt Account for you.
  2. Where you open a ChainFundIt Account on behalf of a minor or another person, we will treat you as our customer and the beneficiary and operate your ChainFundIt Account accordingly. As such, we shall have no responsibility or liability in respect of donations made to any of you, the relevant donors who make donations to your Fundraising Campaign, or a person on whose behalf you are receiving donations.
  3. Whilst you have a ChainFundIt Account, or otherwise use the Platform you:
    • agree that you will continue meet our eligibility criteria;
    • agree that you will:
      • keep your login details secure at all times (where applicable);
      • let no other person access or use your ChainFundIt Account;
      • tell us immediately if you know or suspect that your login details are compromised or another person has accessed your ChainFundIt Account;
    • confirm you have the capacity to agree to these Terms and to enter into any other legally binding commitments into which you may enter with us from time to time;
    • agree to provide us with all information and documents that we may request about you and your affairs from time to time in connection with the use of the Platform, including the opening and operation of your ChainFundIt Account (where applicable), documentation evidencing use of campaign proceeds for example medical invoices, receipts, picture updates, credit alert notifications etc.; and
    • Agree to participate in any media or press interventions required for the purposes of building credibility for the platform and / or your Fundraising Campaign where applicable, including but not limited to press releases, conference or social media live sessions or webinars e.g. Instagram live.
    • confirm the information and documentation you give us is and will remain true and accurate in all respects and not misleading and that you will notify us of any changes to such information.
  4. Whilst you have a ChainFundIt Account, or otherwise use the Platform you:
    • agree that you will continue meet our eligibility criteria
    • agree that you will;
      • keep your login details secure at all times (where applicable).
      •  let no other person access or use your ChainFundIt Account.
      • Tell us immediately if you know or suspect that your login details are compromised or another person has accessed your ChainFundIt Account.
      • Tell us immediately if you know or suspect that your login details are compromised or another person has accessed your ChainFundIt Account.
    • Confirm you have the capacity to agree to these Terms and to enter into any other legally binding commitments into which you may enter with us from time to time.
    • Agree to provide us with all information and documents that we may request about you and your affairs from time to time in connection with the use of the Platform, including the opening and operation of your Chainfundit Account (where applicable), documentation evidencing use of campaign proceeds for example medical invoices, receipts, picture updates, credit alert notifications etc; and
    • Agree to participate in any media or press interventions required for the purposes of building credibility for the platform and / or your Fundraising Campaign where applicable, including but not limited to press releases, conference or social media live sessions or webinars e.g. Instagram live.
    • Confirm the information and documentation you give us is and will remain true and accurate in all respects and not misleading and that you will notify us of any changes to such information.
  5. By using the Platform and opening a ChainFundIt Account (where applicable), you acknowledge and understand that:
    • we may act on all instructions made through the Platform or through your ChainFundIt Account even if the instructions were not given by you; and
    • we may refuse to act on any instruction if we have a reasonable belief that the instruction was not given by you, if the instruction is not clear or there is other good reason.
  6. You must not use or attempt to use the Platform for anything other than accessing and managing your ChainFundIt Account for permitted purposes, or where you do not have a ChainFundIt Account, using the Platform for permitted purposes. In particular, you agree that you will not:
    • use it for a purpose which is illegal or inconsistent with these Terms;
    • seek to disable, copy, reproduce, modify or tamper with the Platform in any way; or
    •  
    • use it in a way that could damage or affect our systems, security, services or business operations.
  1. Although there are no fees to start a Fundraising Campaign, we charge a fee for our services that is payable by donors by way of deduction from donations made to Fundraising campaigns.
  2. Our fees are calculated as a percentage of each donation made through the Platform (the “Platform Fee”).  The Platform Fee is currently set at a maximum of 10% of each donation.  Where applicable, a portion of the Platform Fee may be payable as commission to third parties that act as [Chain Ambassadors] on behalf of the Platform. Where the Campaign Organiser opts to activate the chain functionality on the campaign, the Campaign Organiser will be given the opportunity to set the percentage payable as Chain Commission to Chain Ambassadors. Once the Campaign Organisers opts and sets this feature, it cannot be amended throughout the life of the campaign.
  3. The Platform Fee does not include any additional fees or charges that may be applied by a Payment Service Provider for use of their services.  Where applicable, you will be responsible for paying such fees or charges.

  5. We reserve the right to review, change or waive any applicable fees from time to time.
  6. Donations are aggregated and paid directly to the nominated bank account of the Fundraising Campaign or directly to the Alternative Recipient where possible.

Section B – Donors

  1. By opening and maintaining a ChainFundIt Account, or otherwise using the Platform, you acknowledge and agree that:
    • by making donations through the Platform you are donating money to the Fundraising Campaign and will not receive anything in return;
    • you will not have any recourse against the Platform for any amounts you donate through the Platform (subject to paragraph 17 below); and
  2. Where the donor is a legal person rather than a natural person, these Terms shall be read accordingly, and the following shall apply:
    • we shall be entitled to rely on the authority, or apparent authority, of the individual making the donation on behalf of the donor, who by making such donation, confirms that they are authorised by the donor to do so; and
    • we may apply any additional identity and eligibility criteria in respect of the donor which we, in our absolute discretion, determine necessary from time to time.
  1. Donations we receive will be allocated to the payment account that the relevant campaign holds with a Payment Service Provider (the “Payment Account”).
  2. To make donations into the Payment Account, you should follow the instructions in the unique payment link or relevant campaign page provided by the relevant beneficiary or account creator.

  4. You can use a bank transfer by way of direct debit from your bank account to make donations into the Payment Account. You can also use a debit card to make any one-off donations. Where applicable, in cases where donations are made via bank transfer, the donor understands and agrees that such donations and any comments accompanying such donations may be reflected/captured as” anonymous” on the Fundraising campaign page.
  5. The platform will only recognise transfers that have been successfully credited to the nominated bank account of the Fundraising campaign where donations are made to the fundraising campaign by way of direct debit or bank transfer.
  6. By making all such donations-in, you confirm that you are authorised to make such payments, including where the payment is from a joint or corporate account.
  7. We or our Payment Service Provider may, at any time and without notice, refuse to accept any donation on the fundraising campaign.
  8. If we are unable to transfer your donations to your intended Fundraising Campaign for any reason, donors agree and accept that we will return your donation via the payment method from which you made the donation or your donation will be sent to another Fundraising Campaign with similar causes approved by ChainFundIt, subject to the deduction of applicable transaction and payment processing fees.
  9. All donations are at your own risk. The Platform does not represent or warrant that your donations will be used in accordance with the purpose of the fundraising campaign. Notwithstanding, we take proactive steps to ensure that Fundraising Campaigns on our platforms are of genuine needs and we take possible fraudulent activity and the misuse of funds raised very seriously.
  1. Upon setting up your direct debit instruction to make donations into the Payment Account, or upon making a one-off donation into the Payment Account, we will allocate your donation(s) to the relevant Fundraising Campaign (or the relevant beneficiary’s nominated recipient).
  2. By instructing a payment, you authorise us to submit instructions to the Payment Service Providers to facilitate your donations. We will be entitled to rely on the instructions provided to us without having to investigate the validity of such instructions.
  3.  
  4. Whilst we would encourage you to maintain your commitment to the relevant beneficiary, you are under no obligation to donate through the Platform and are free to cancel your direct debit at any time via your bank or business building society.
  5. There may be times when a donation into or out of the Fundraising Campaign needs to be converted from one currency into another. This process may result in delays and/or fees and charges being deducted from your donation, as well as the application of our Payment Service Providers’ exchange rate to your donation, all of which could reduce the amount received by the Fundraising Campaign. You are solely responsible for ensuring that any donations made through the Platform are permitted according to the laws of the country in which you are based and we shall have no responsibility or liability to you or any Fundraising Campaign in respect of donations made in breach of such laws.
  6. Subject to paragraph 9.6, once the relevant funds have been allocated for payment to the relevant Fundraising Campaign, you will not be able to cancel the transaction or retrieve the funds transferred through the Platform.
  7. Where an error occurs in relation to your donation which:
    • is caused by us; and
    • results in your donation being misallocated,
      we will either, in our absolute discretion,
      • refund your donation back to you through your selected payment method, or
      • pay the intended Fundraising Campaign the relevant amount misallocated, either of which shall discharge our liability to you in respect of the error caused.
  8. Details of your donations on the Fundraising Campaign will be available through your ChainFundIt Account (where applicable), and provided by way of account statements available on request.
  9. Where we consider a donation to be erroneous or suspicious, we may contact you before allocating the donation and ask for additional information. Where we cannot obtain such additional information or otherwise verify the legitimacy of the donation, we may, in our absolute discretion, refuse to accept donation.
  1. See paragraph 16 below for details about how you or we may close your ChainFundIt Account or otherwise cease to support your access to or use of the Platform.
  2. Closure of your ChainFundIt Account (where applicable) will result in any funds raised to the Fundraising Campaign held in the Payment Account that are due to be paid to a relevant beneficiary being paid to such beneficiary. However, no future payments will be taken after the closure of your ChainFundIt Account. You should also cancel any outstanding direct debits in respect of the Platform. Where we receive any payments after the closure of your, or a relevant Fundraising Campaign’s, Chainfundit Account, we will credit the donations to the Fundraising Campaign or refund such payments back to you less any applicable fees or charges, which may include the Platform Fee and Chain Commission.
  1. You are responsible for accounting for any UK and non-UK taxes imposed on you as a result of making donations through the Platform. If you have any questions around your specific circumstances or taxation in general, you should seek independent advice.

Section C – Organisers

  1. As a Campaign Organiser all information provided in connection to your Fundraising Campaign must be accurate, complete, and not likely to deceive donors. You will also provide updates as needed so that donors understand the use of funds and any other relevant information about your Fundraiser.
  2. Where our Payment Service Provider requires us to open a separate Payment Account in respect of each fundraising campaign you authorise us to open a Payment Account on your behalf. The Payment Account will be opened in the Campaign Organisers or beneficiaries name and will be separate from any payment account we, or others, may hold with the Payment Service Provider from time to time. We will operate the Payment Account on your behalf for the purpose of aggregating and transferring donations to you, and otherwise to manage and administer our arrangements with you.
  3. Your ChainFundIt Account and Payment Account will be linked to your nominated bank account, which must be an account in the Campaign Organiser’s or beneficiary’s name. You must provide us with the details of your nominated bank account when requested by us in order to use the Platform.
  4. In addition to the commitments made in paragraph 5 above, at account opening and whilst you have a ChainFundIt Account and Payment Account you confirm that you are properly authorised to transfer money into, and out of, your nominated bank account.
  5. By opening and maintaining a ChainFundIt Account, you acknowledge and agree that even if you have a ChainFundIt or a Payment Account, we do not guarantee that you will receive donations through the Platform.
  6. By opening a ChainFundIt Account, Campaign Organisers have the option to create a dedicated virtual account. This will help us create a NUBAN account number through our payment service provider (Paystack) in your name which we will roll out as part of the fundraising donation options. You will be required to submit your proof of address, proof of identification (International passport, National Insurance Card, Driver’s Licence), BVN details and your bank account details which will be the nominated account to be used for pay-out of funds raised.
  1. Following the opening of your ChainFundIt Account, we strive to make Withdrawals available to you promptly.
  2. Donations made to your Fundraising Campaign will be aggregated in your Payment Account and paid to your nominated bank account on a date specified by us, or upon your request.
  3.  
  4. Although you will typically receive the funds within 2 days of us executing the transfer, we cannot guarantee that you will receive the donations by any specific time.
  5. Where you receive a donation more than the aggregated donations made in your Fundraising Campaign, or receive a donation in error, you agree to notify ChainFundIt immediately and refund the excess, or erroneous donation (where applicable), to us within 2 days of the original donation being paid, irrespective of whether we notify you of the excess or erroneous donation or otherwise.
  6. Details of your donations received will be available through your ChainFundIt Account, provided by way of account statements available on request.
  7. Donors may opt to make donations on an anonymous basis. Where they choose to do so, you acknowledge that we are under no obligation to reveal their identity which will remain anonymous to you.
  8. You may wish to nominate a recipient (the “Alternative Recipient”) to receive relevant donations on your behalf, whether to act as payment for goods or services that you lawfully receive from time to time from the Alternative Recipient or for any other reason. Where you wish to do so, you must notify us of the Alternative Recipient and provide us with any details we request at such time. We may, in our absolute discretion, refuse to accept a request to appoint an Alternative Recipient to receive donations on your behalf. Where we accept such a request, you agree that we are entitled to pay relevant donations from your Fundraising Campaign to the Alternative Recipient on such terms and conditions as we require and we shall have no responsibility or liability to you, any donor, or any Alternative Recipient after such donation has been paid. The Alternative Recipient and any commitments or disputes arising as between donor(s), beneficiary and Alternative Recipient is for resolution directly between the relevant persons and we shall have no responsibility or liability in respect of such commitments or disputes. To the extent relevant, you shall procure the performance of the Alternative Recipient with these Terms (including clause 13.4).
  9. Where we are unable to pay donations to the Alternative Recipient, we may pay such donations to you directly on the conditions that you agree to:
    • pay the relevant donations (in full and without deduction) to the Alternative Recipient directly within 24 hours of receipt of the donations from us; and
    • send us evidence (in such form we may request) that the donations have been paid to the Alternative Recipient.
  1. ChainFundIt reserves the right to modify, suspend or discontinue, temporarily or permanently, the services (or any part thereof) at any time and for any reason with or without notice, and without liability to you or to any third party for any claims, damages, costs, or losses resulting therefrom.
  2. Campaign organisers and donors should note that the progress bar in each Fundraising Campaign will be updated from time to time (where applicable) to reflect the donations raised on the platform, donations raised on other fundraising Platforms by the Campaign Organisers or any other combined effort towards the Fundraising Campaign.
  1. All payments made to you are without the deduction of UK income tax, or any other UK or non-UK taxes. You are responsible for accounting for any UK and non-UK taxes imposed on you as a result of receiving donations through the Platform. If you have any questions around your specific circumstances or taxation in general, you should seek independent advice.

Section D – General

  1. You may close your ChainFundIt Account by notifying us through the Platform or by emailing us at campaigns@chainfundit.com.
  2. We may close your Chainfundit Account by giving you at least 5 days’ written notice which will start on the date of the notice.
  3. We may notify you at any time and without warning that we intend to close your Chainfundit Account or otherwise cease to support your access to or use of the Platform if:
    • you breach these Terms or our privacy policy;
    • you use your Chainfundit Account in a way that is not expressly permitted by these Terms, including permitting another person to access and use your account;
    • you do not respond to our reasonable requests for information or documentation;
    • we suspect or become aware that information you have provided to us is materially incorrect, inaccurate, false or misleading;
    • we suspect or become aware that you are committing fraud, money laundering or other criminal activity;
    • you use the Platform in an illegal or offensive way or your actions (or failure to act) may have an adverse effect on us or our reputation;
    • you no longer satisfy our eligibility (or other) requirements regarding maintenance of a ChainFundIt Account;
    • your ChainFundIt Account is, in our reasonable opinion, dormant (for example, if you do not log-on for a period of time); or
    • we are put in a position where we may break any law, regulation, code or other applicable duty that applies to us if we continue to maintain your ChainFundIt Account.
  4. We may notify you at any time and without warning that we intend to close your Chainfundit Account or otherwise cease to support your access to or use of the Platform if:
    • you breach these Terms or our privacy policy;
    • you use your Chainfundit Account in a way that is not expressly permitted by these Terms, including permitting another person to access and use your account;
    • you do not respond to our reasonable requests for information or documentation;
    • we suspect or become aware that information you have provided to us is materially incorrect, inaccurate, false or misleading;
    • we suspect or become aware that you are committing fraud, money laundering or other criminal activity;
    • you use the Platform in an illegal or offensive way or your actions (or failure to act) may have an adverse effect on us or our reputation;
    • you no longer satisfy our eligibility (or other) requirements regarding maintenance of a ChainFundIt Account;
    • your ChainFundIt Account is, in our reasonable opinion, dormant (for example, if you do not log-on for a period of time); or
    • we are put in a position where we may break any law, regulation, code or other applicable duty that applies to us if we continue to maintain your ChainFundIt Account.
  5. Closure of your Chainfundit Account for any reason will also result in closure of your Payment Account (if you have one).
  6. If a donor or beneficiary passes away, their executor or other appropriate representative should contact us on +44 203 838 0360 so that we can discuss the next steps for the Chainfundit Account. When we are notified of a donor or beneficiary passing away, we will suspend all access (but not donations) to the ChainFundIt Account and any related Payment Account.
  1. You will be liable to us for any foreseeable loss we suffer as a result of:
    • your breach of these Terms;
    • your negligence or willful default;
    • your fraudulent use of the Platform or a Chainfundit Account; or
    • your failure to keep your login or other security details secure.
  2. Subject to paragraph 17.3, we will be liable to you for any foreseeable loss you suffer as a result of:
    • our breach of these Terms;
    • our negligence or willful default; or
    • fraud committed by an employee of ours.

  3. We will not be liable to you for loss you suffer (whether foreseeable or not) arising from:
    • the unavailability, or functional limitations, of the Platform, including any Chainfundit Account or Payment Account;
    • an erroneous donation where the cause of the error is not due to our, or our Payment Service Providers’, fault;
    • hacking, tampering, or other unauthorised access or use of, or any bugs, viruses, or other harmful code that may be transmitted to or through, the Platform or in relation to our third party service providers;
    •  
    • any errors, inaccuracies, omissions, or losses in or to any data provided to us; or
    • circumstances beyond our reasonable control.
  4. We will not be liable to you for loss you suffer (whether foreseeable or not) arising from:
    • the unavailability, or functional limitations, of the Platform, including any Chainfundit Account or Payment Account;
    • an erroneous donation where the cause of the error is not due to our, or our Payment Service Providers’, fault;
    • hacking, tampering, or other unauthorised access or use of, or any bugs, viruses, or other harmful code that may be transmitted to or through, the Platform or in relation to our third party service providers;
    • any errors, inaccuracies, omissions, or losses in or to any data provided to us; or
    • circumstances beyond our reasonable control.
  5. Nothing in these Terms excludes or limits liability which we have to you under applicable law and that cannot be excluded or restricted under that applicable law.
  1. Funds raised towards a Fundraising Campaign can be pooled or held separately depending on the fundraising campaign. In any case any donations towards a fundraising campaign on the platform will be held separately in the business account of ChainFundIt.
  2. No interest derived from the holding of client money, if any, will be paid to the Campaign Organisers, beneficiaries, or Alternative Recipients in the event of refunds.

  4. The funds held in the Payment Account are not covered by the Financial Services Compensation Scheme or any similar bodies.
  5. In the event that you agree for your campaign to be promoted by Chainfundit, the platform will invest monies in promoting your campaign in a bid to increase the chances of success, Monies expended for such investment will be deducted from the campaign proceeds.
  1. We may make changes to these Terms from time to time without requiring your consent for the following reasons:
    • to make changes that benefit you or do not disadvantage you (such as to make them easier to understand or to clarify how the Platform operates);
    • to reflect changes to our products or services, including introducing new products and services or withdrawing products and services;
    •  
    • to reflect changes in the way we operate our business or the Platform or if we change our systems, policies, processes or standards;
    • to reflect changes required by our Payment Service Providers; and
    • to adapt to changes in law, regulation or industry guidance or implementing changes as a result of the decisions of a court, regulator or ombudsman.
  2. We will aim to give you at least 5 days’ notice of any change to these Terms by notifying you through the Platform or by email but this may not always be possible.
  3. If you do not agree with the changes we make you may close your ChainFundIt Account. By continuing to access and use your ChainFundIt Account (where applicable), or otherwise use the Platform, after changes to these Terms you agree to be bound by the amended Terms.
  4. If you do not agree with the changes we make you may close your ChainFundIt Account. By continuing to access and use your ChainFundIt Account (where applicable), or otherwise use the Platform, after changes to these Terms you agree to be bound by the amended Terms.
  1. It is important that you notify us immediately (and no later than 1 day) on becoming aware of any errors that occur through your use of the Platform. We will investigate any reported errors along with our Payment Services Providers.
  2. We will generally give you updates and information through the Platform or by email.

  4. We may contact you through any of the communication channels provided by you and will use the most recent contact details that we hold on record for you.
  5. Please advise us of any changes in your contact details by updating your information on the Platform. Failure to do so may mean that you do not receive important information from us.

The Platform and its associated services contain links to other sites, including the website of Fundraising Campaigns that opt to be chained.

The personal data that you provide to us or that we obtain about you will be processed in accordance with our Privacy Policy.

  1. We aim to provide a high quality service to you at all times. Unfortunately, mistakes do sometimes occur, but when this happens we will do our best to resolve any problems or misunderstandings that arise.

  1. Except as required by law, we shall not be required to recognise the interest or claim of any person in a Chainfundit Account or Payment Account other than the registered ChainFundIt Account holder or Payment Account holder.

We may transfer or delegate our rights and obligations under these Terms, in whole or in part, to any person (whether inside or outside our corporate group) that we reasonably consider is capable of exercising those rights or performing those obligations. You may not transfer any of your rights or obligations under the Terms without obtaining our prior written consent.
